Terms of Service

Last updated

These terms are an agreement between you and ArcusScale for the use of ArcusSuite, the app at app.arcussuite.com, and this website. Please read them along with our Privacy Policy, which explains how information is handled.

Accepting these terms

You accept these terms by creating an account, accepting an invitation to a workspace, or otherwise using ArcusSuite. If you use ArcusSuite on behalf of an organization, you confirm that you are allowed to accept these terms for it, and "you" includes that organization.

What ArcusSuite is

ArcusSuite is a workspace of apps for time tracking, time off and team management. We keep improving it, so features may be added, changed or removed over time. Features described as "coming soon" are not yet available, and we do not promise when, or whether, they will be.

Your account

  • Give accurate information when you sign up, and keep it up to date.
  • Keep your password to yourself. You are responsible for what happens under your account, and each account is for one person.
  • Tell us at info@arcusscale.com straight away if you think someone else has used your account.

Organizations and their admins

The person who creates a workspace becomes its first admin. Admins invite people, set their roles, managers and tags, manage projects and choose the workspace settings, including whether usage analytics are offered to members.

The organization is responsible for how its members use ArcusSuite, and for having the right to put its people's information into it, including giving any notice and getting any consent that employment and privacy law require.

Time entries, time off and balances in ArcusSuite are your organization's records. ArcusSuite is not payroll, legal or tax advice, and you are responsible for making sure the way you use it meets the wage and hour, leave and record keeping rules that apply to you.

Your data

Your organization owns the information it puts into ArcusSuite. You give us permission to host, copy, process and display it only as needed to provide, secure and support ArcusSuite, to improve it as described in the Privacy Policy, and to comply with the law. We do not sell it.

You are responsible for the information you enter, and for having the right to enter it.

Acceptable use

When using ArcusSuite, do not:

  • Break the law, or infringe anyone's rights, including their privacy.
  • Try to get into accounts, workspaces or systems you are not allowed to access, or probe, scan or test the security of ArcusSuite without our written permission.
  • Upload malware, or interfere with or overload the service.
  • Create accounts by automated means, or use bots or scrapers on ArcusSuite.
  • Copy, modify, reverse engineer or resell ArcusSuite, except where the law allows it despite this term.
  • Use ArcusSuite to harass anyone, or to store content you have no right to store.

Fees

Any fees for ArcusSuite are agreed with your organization separately, before they apply. We will not charge you for anything you have not agreed to.

Services from other companies

ArcusSuite relies on services from other companies, such as Amazon Web Services, Google and PostHog, as described in the Privacy Policy. Links to other websites are provided for convenience, and we are not responsible for their content or practices.

Intellectual property

ArcusSuite, including its software, design, text and graphics, and the ArcusSuite name and logo, belong to ArcusScale and are protected by intellectual property law. While you use ArcusSuite under these terms, we give you a personal, non-exclusive, non-transferable right to use it. We keep all other rights.

If you send us ideas or feedback, we may use them without owing you anything.

Suspension and closing an account

You can stop using ArcusSuite at any time. An admin can ask us to remove a member from the workspace, or to close the organization's account, by writing to info@arcusscale.com. Before an account is closed, an admin can ask us for a copy of the organization's workspace information.

We may suspend or end access to ArcusSuite if these terms are broken, if continuing would put ArcusSuite, its users or others at risk, or if the law requires it. Where it is reasonable to do so, we will tell you first. When access ends, your right to use ArcusSuite ends, and information is deleted as the Privacy Policy describes.

No warranty

ArcusSuite and this website are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that ArcusSuite will be uninterrupted or error-free, and you are responsible for keeping any copies of your records that you need.

Limitation of liability

To the fullest extent the law allows, ArcusScale is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from your use of, or inability to use, ArcusSuite. Our total liability for any claim relating to ArcusSuite is limited to the greater of the amount your organization paid us for ArcusSuite in the 12 months before the claim and US$100.

Nothing in these terms limits liability that cannot be limited by law.

Responsibility for claims

If someone brings a claim against ArcusScale because of information your organization put into ArcusSuite, or because these terms were broken under your account or in your workspace, you agree to cover the reasonable costs of that claim, to the extent the law allows.

Governing law

These terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict of law rules. The state and federal courts located in Mecklenburg County, North Carolina have exclusive jurisdiction over any dispute arising from them, and you consent to that jurisdiction.

Changes to these terms

We may update these terms. When we do, we change the date at the top, and for changes that materially affect you we will tell admins in the app or by email before they take effect. If you keep using ArcusSuite after a change takes effect, the updated terms apply.

General

These terms, the Privacy Policy and any separate agreement with your organization are the whole agreement about ArcusSuite. If part of these terms cannot be enforced, the rest still applies. Not enforcing a term is not a waiver of it. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale. We are not responsible for delays caused by events beyond our reasonable control.
